MiFID staat voor <strong>M<\/strong>arkets <strong>i<\/strong>n <strong>F<\/strong>inancial <strong>I<\/strong>nstruments <strong>D<\/strong>irective en heeft als doelstelling (evenals Dodd-Frank) om \u00a0meer transparantie in de financi\u00eble markt te krijgen. MiFID II zal op 3 januari 2017 van kracht gaan.<\/p>\n<p>In de afgelopen jaren is de keuzevrijheid voor beleggers wat betreft financi\u00eble instrumenten en dienstverleners door de MiFID vergroot. Ook heeft de MiFID gezorgd voor meer concurrentie tussen handelsplatformen. Grote veranderingen hebben plaatsgevonden in de markt. Zo zijn er nieuwe handelsplatformen en nieuwe producten ontstaan, en hebben technologische ontwikkelingen het karakter van de handel in financi\u00eble instrumenten veranderd.<\/p>\n<p>Deze veranderingen hebben de huidige MiFID richtlijn ingehaald en geleid tot voorstellen voor herziening van de bestaande MiFID en de introductie van een nieuwe verordening: Markets in Financial Instruments Regulation (MiFIR). De herziening van de MiFID en de nieuwe verordening worden samen aangeduid als MiFID II. In dit artikel wil ik nader ingaan op, en me beperken tot de impact die MiFID II heeft op alle elektronische communicatie.<\/p>\n<ul>\n<li>Voorheen gold de verplichting tot het vastleggen van communicatie alleen op die communicatie waarin de daadwerkelijke transactie werd afgehandeld. De nieuwe regeling schrijft voor dat ook alle gesprekken hieraan voorafgaand dienen te worden vastgelegd, ook al leiden deze niet tot een uiteindelijke transactie. In de praktijk komt dit er dus op neer dat\u00a0<strong>ALLE<\/strong> communicatie zal moeten worden vastgelegd.<\/li>\n<li>De bewaartermijn is vastgesteld op 5 jaar, maar instanties kunnen een verzoek indienen om de gesprekken van maximaal 7 jaar terug in te zien. Concreet betekent dit dat alle communicatie 7 jaar bewaard dient te worden.<\/li>\n<li>Alle bestaande en nieuwe klanten dienen te worden ge\u00efnformeerd dat het gesprek wordt opgenomen.<\/li>\n<li>De MiFID II regulering heeft een breder bereik, dit betekent dat niet alleen interbancair maar ook retail (afsluiten hypotheken, particuliere beleggers etc.) onder deze nieuwe regulering zal vallen.<\/li>\n<\/ul>\n<p>Uiteraard is de nieuwe regulering veel breder dan de enkele, hierboven genoemde punten. De volledige versie kunt u downloaden op de <a href=\"http:\/\/eur-lex.europa.eu\/legal-content\/EN\/TXT\/?uri=uriserv:OJ.L_.2014.173.01.0084.01.ENG\" target=\"_blank\">eur-lex site van de Europese Unie.<\/a>\u00a0Alhoewel het hier nog om de draft versie gaat zal deze waarschijnlijk wel in deze vorm eind september 2015 door de Europese Commissie goedgekeurd gaan worden.<\/p>\n<p>Voor nagenoeg alle organisaties in de financi\u00eble sector heeft de invoering van de MiFID II regulering een grote impact op de dagelijkse bedrijfsvoering. Alhoewel 3 januari 2017 nu nog ver weg lijkt dient er nog veel werk verzet te worden aan interne regels, werkwijzen en de technische implementatie van systemen om aan deze nieuwe regulering tot voldoen.
